All payments must be made as agreed upon in the project proposal or invoice prior to final delivery. Clear payment schedules are established at the beginning of every project engagement.

• Advance payments may be required before any work commences, as specified in the project agreement.
• Delayed or withheld payments may result in immediate project suspension until dues are cleared.
• All taxes, duties, and applicable third-party charges are the client's sole responsibility unless explicitly stated otherwise in the project agreement.
• Payments are processed in Indian Rupees (INR) unless otherwise agreed in writing.

We are committed to delivering results that align with your vision. Each project package includes a defined number of revision rounds, agreed upon before work begins.

• The number of included revisions depends on the selected project package and is outlined in the project proposal.
• Additional revisions or requests for major scope changes beyond the agreed package will incur extra charges at our standard revision rates.
• Clients are expected to provide clear, consolidated, and timely feedback at each revision stage.
• Incomplete or vague feedback that requires multiple re-submissions may count as additional revision rounds.

Failure by the client to provide prompt feedback within the stipulated review window may lead to project delays, for which Sunova Digital bears no responsibility.

Intellectual property rights are a critical aspect of our professional relationship. The following terms govern ownership and usage of all created work.

• Full ownership and rights to the final project deliverables are transferred to the client upon receipt of complete payment.
• Prior to full payment, all created assets, designs, and code remain the exclusive intellectual property of Sunova Digital.
• Sunova Digital reserves the right to feature completed projects in its portfolio, case studies, and marketing materials unless the client requests confidentiality in writing prior to project completion.
• Unauthorized copying, reproduction, resale, or redistribution of any work created by Sunova Digital is strictly prohibited and may be subject to legal action.

A successful project is a collaborative effort. Clients are expected to actively participate in the process and fulfil the following responsibilities:

• Providing accurate, complete, and up-to-date information required for project execution.
• Delivering all required content, assets, credentials, and materials on or before the agreed deadlines.
• Reviewing project updates, prototypes, and deliverables promptly within the specified review periods.
• Communicating change requests clearly and in a timely manner through designated channels.
• Ensuring all provided content is original, legally owned, and free from third-party copyright restrictions.

Failure to fulfil client responsibilities may directly impact project timelines and quality. Sunova Digital shall not be held accountable for delays arising from client inaction or late submission of required materials.

Project timelines and delivery schedules are discussed and agreed upon before the commencement of any work. We are dedicated to meeting deadlines; however, certain factors may affect delivery.

Due to the nature of custom digital services, our refund policy is structured to be fair to both parties while accounting for time and resources already invested.

• Advance payments are generally non-refundable once project work has commenced.
• Refund eligibility, if any, is determined based on the current stage of the project and the proportion of work completed.
• Custom digital deliverables — including designs, code, and content — cannot be fully refunded after delivery and acceptance.
• Disputes must be raised within 7 days of the delivery date for consideration.

Sunova Digital provides services with the highest degree of professional care; however, we cannot guarantee outcomes beyond our direct control. The following limitations apply:

• Sunova Digital shall not be held liable for any direct or indirect business losses arising from the use of our services.
• We are not responsible for data loss, corruption, or security breaches resulting from third-party hosting, server issues, or client-side vulnerabilities.
• Failures or disruptions caused by third-party services, platforms, or APIs integrated into your project are beyond our liability.
• Delays or losses resulting from circumstances beyond our reasonable control (force majeure) are excluded from liability.

In all cases, the maximum liability of Sunova Digital is strictly limited to the total amount paid by the client for the specific service in question.

Sunova Digital is committed to protecting the privacy and security of all client information. We handle all data with the utmost confidentiality and in compliance with applicable data protection laws.

• All client information shared with us is stored securely and accessed only by authorised personnel.
• We do not sell, trade, or transfer personal data to third parties without explicit client consent, except where required by law.
• Website usage data, including cookies and analytics, may be collected to improve our services and user experience.

Either party may terminate the project engagement under specific conditions. The following terms govern project termination:

Sunova Digital reserves the right to terminate services if:

• These Terms & Conditions are violated by the client.
• Payments remain outstanding beyond the agreed period despite reminders.
• Illegal, abusive, or unethical activity related to the project is detected.
• The project is determined to be technically infeasible or outside our service scope.

Client-initiated termination:

• Clients may terminate a project by submitting a written termination notice via email.
• All work completed up to the termination date will be billed and must be paid in full.
• Partially completed deliverables may not be provided to the client upon early termination.

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Republic of India, and more specifically, the laws applicable in the State of Jharkhand.

Any disputes, claims, or controversies arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Jharkhand, India.

By using our services, you consent to the jurisdiction of such courts and waive any objection to the exercise of jurisdiction by such courts.
